1. Introduction

Welcome to RouteTokens (R9S). These Terms of Service (“Terms”) govern your access to and use of our AI API gateway services, website, and related services (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

RouteTokens (R9S) provides a unified AI API gateway that aggregates access to various third-party AI model providers, including but not limited to OpenAI, Anthropic, Google, Qwen, DeepSeek, and others. Our Service enables developers to access multiple AI models through a single API interface.

We act as an intermediary between you and third-party AI providers. The actual AI model services are provided by their respective providers, and your use of those services is also subject to their respective terms and policies.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18 years of age, you must have parental or legal guardian consent to use the Service and they must agree to these Terms on your behalf.

By using the Service, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features of the Service, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and API keys.

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. Credits and Payments

Our Service operates on a pre-paid credits system. You purchase credits which are then consumed based on your API usage. The following terms apply to credits and payments:

• Credits are non-transferable between accounts.
• Refund requests for unused credits may be submitted within 24 hours of purchase. After this period, credits are generally non-refundable.
• Credits expire 365 days after purchase if unused.
• Pricing for API usage is subject to change. We will provide reasonable notice of pricing changes.

You are responsible for all fees associated with your account, including any applicable taxes. Failure to pay may result in suspension or termination of your account.

6. Acceptable Use Policy

You agree not to use the Service in any manner that:

• Violates any applicable laws, regulations, or third-party rights
• Generates, distributes, or facilitates illegal content, including but not limited to child sexual abuse material (CSAM), content that exploits minors, or non-consensual intimate imagery
• Creates or distributes malware, viruses, or other harmful code
• Attempts to gain unauthorized access to our systems or other users’ accounts
• Interferes with or disrupts the Service or servers connected to the Service
• Circumvents any rate limits, usage restrictions, or access controls
• Uses the Service to send spam, phishing messages, or other unsolicited communications
• Reverse engineers, decompiles, or attempts to extract the source code of the Service

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending or terminating accounts, and reporting to law enforcement.

7. User Content and Data

You retain ownership of any content you submit through the Service (“User Content”). By using the Service, you grant us a limited license to process your User Content solely for the purpose of providing the Service to you.

We do not claim ownership of your prompts or the outputs generated through the Service. However, we may collect anonymized and aggregated usage data to improve our Service. Please refer to our Privacy Policy for details on how we handle your data.

8. Third-Party Services

Our Service integrates with and routes requests to third-party AI providers. Your use of AI models through our Service is also subject to the terms, conditions, and usage policies of the respective providers.

We are not responsible for the content, accuracy, or reliability of outputs generated by third-party AI models. You acknowledge that AI outputs may contain errors, biases, or inaccuracies, and you are solely responsible for evaluating and using such outputs.

9. Account Termination

We may suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, non-payment, or if we believe your actions may cause legal liability or harm to us or other users.

Upon termination, your right to use the Service will immediately cease. Any unused credits may be forfeited upon termination for cause. You may terminate your account at any time by contacting us.

10. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes.

We may also update these Terms from time to time. Material changes will be communicated through the Service or via email. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We are not responsible for the accuracy, reliability, or quality of AI model outputs.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless RouteTokens (R9S), its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RouteTokens (R9S) operates, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes may be submitted to binding arbitration or the courts of competent jurisdiction.
